Terms of Service

Welcome to ProjectAdvisoryAI. These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and ProjectAdvisoryAI ("we," "us," or "our"), governing your access to and use of the ProjectAdvisoryAI platform, including all related services, tools, and features (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

ProjectAdvisoryAI is a cloud-based SaaS platform designed to support organizations, project managers, consultants, and EU funding professionals in planning, developing, and managing EU-funded projects. The platform provides tools for:

• AI-assisted project planning and application drafting
• Consortium building and partner management
• Financial tracking, budget management, and reporting
• Funding call discovery and opportunity matching
• Consultant workspace management across multiple client organizations
• Document management and collaborative editing

The Service is provided on a subscription basis and may include free and paid tiers, as described on our pricing page.

To use ProjectAdvisoryAI, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal authority to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Act on behalf of a legitimate organization, business, or as an individual professional

If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Not share your account or credentials with any third party
• Notify us immediately of any unauthorized use of your account

You are solely responsible for all activity that occurs under your account. ProjectAdvisoryAI is not liable for any loss resulting from unauthorized use of your account.

We reserve the right to disable or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.

ProjectAdvisoryAI uses artificial intelligence to assist users in drafting project proposals, generating content, matching funding opportunities, and other tasks. You acknowledge and agree that:

• AI-generated content is provided for informational and drafting assistance purposes only
• AI outputs may contain errors, inaccuracies, or incomplete information
• AI-generated content does not constitute professional legal, financial, or compliance advice
• You are solely responsible for reviewing, validating, and editing any AI-generated content before use
• ProjectAdvisoryAI makes no warranties regarding the accuracy, reliability, or suitability of AI outputs
• Reliance on AI-generated content is entirely at your own risk

We strongly recommend consulting qualified professionals for legal, financial, or regulatory matters.

You retain full ownership of all data, content, documents, and materials you upload, create, or submit through the Service ("User Content").

By using the Service, you grant ProjectAdvisoryAI a limited, non-exclusive, royalty-free license to:

• Store and host your User Content on our infrastructure
• Process your User Content to deliver the Service features
• Display your User Content within the platform as you configure
• Create backups for continuity and recovery purposes

This license is strictly limited to operating and improving the Service.

You are responsible for ensuring your User Content does not infringe third-party rights, violate applicable laws, or breach any confidentiality obligations.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.

For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR):

• You have the right to access, rectify, and erase your personal data
• You have the right to data portability and restriction of processing
• You may withdraw consent at any time where processing is consent-based
• You can export or request deletion of your data at any time
• Data may be transferred outside the EU with appropriate safeguards (e.g., Standard Contractual Clauses)
• We maintain records of processing activities as required by GDPR

The Service may integrate with third-party services and platforms, including but not limited to:

• Stripe — payment processing
• Google Calendar — task and deadline synchronization
• EU Funding & Tenders Portal — funding call data
• Resend — transactional email delivery

Your use of third-party integrations is subject to the respective third-party terms and privacy policies. ProjectAdvisoryAI is not responsible for the practices, content, or availability of third-party services.

We do not control third-party services and accept no liability for any loss or damage arising from your use of or reliance on them.

ProjectAdvisoryAI offers both free and paid subscription plans. By purchasing a paid plan, you agree to the following:

• Subscription fees are billed in advance on an annual or monthly basis as selected
• All payments are processed securely via Stripe — we do not store payment card details
• Subscriptions automatically renew at the end of each billing period unless cancelled
• You may cancel your subscription at any time; access continues until the end of the current billing period
• No partial refunds are issued for unused subscription time unless required by applicable law
• We reserve the right to modify pricing with reasonable advance notice
• Legacy one-time project access purchased before its discontinuation remains governed by the terms that applied at the time of purchase

All intellectual property rights in the Service, including but not limited to the platform software, design, algorithms, AI models, branding, trademarks, and documentation, are owned by or licensed to ProjectAdvisoryAI.

You are granted a limited, non-exclusive, non-transferable license to:

• Access and use the Service for your internal business purposes
• Use features and tools as described in your subscription plan

You agree NOT to:

• Copy, modify, distribute, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use our branding, trademarks, or logos without prior written consent
• Sublicense or resell access to the Service without authorization

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Upload or transmit harmful, offensive, defamatory, or infringing content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with, disrupt, or degrade the performance of the Service
• Use automated tools to scrape, crawl, or extract data without our consent
• Misrepresent your identity or affiliation with any person or organization
• Use the Service to send unsolicited communications (spam)
• Circumvent usage limits, access controls, or billing systems
• Use the Service to develop competing products or services

We strive to provide a reliable, high-availability service, but we do not guarantee uninterrupted, error-free, or completely secure operation. You acknowledge that:

• The Service may be temporarily unavailable due to scheduled maintenance
• We may modify, update, or discontinue features with reasonable notice
• Service availability may be affected by factors outside our control
• We are not liable for any loss resulting from service interruptions

We will make reasonable efforts to provide advance notice of planned downtime and will restore service as quickly as possible following unplanned outages.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We expressly disclaim all warranties, express or implied, including fitness for a particular purpose
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, data, goodwill, or business opportunities
• Our total aggregate liability for any claims is limited to the fees paid by you in the 12 months preceding the claim

Either party may terminate the agreement at any time:

• You may stop using the Service and cancel your subscription at any time
• We may suspend or terminate your account for violation of these Terms
• We may terminate accounts that pose a risk to the platform or other users
• We may terminate accounts with 30 days' notice for business reasons

Upon termination:

• Your access to the Service will be revoked immediately or at end of billing period
• You may export your data within 30 days of termination notice
• We will retain your data as required by law, then securely delete it
• Accrued payment obligations survive termination

We reserve the right to update these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to registered users for significant changes
• Display an in-app notice for material updates
• Provide a reasonable notice period before changes take effect

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

These Terms are governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts in Slovenia, unless otherwise required by applicable consumer protection law in your jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
